LEEDTECH TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND IN THEIR ENTIRETY BEFORE ACCESSING, REGISTERING FOR, SUBSCRIBING TO, DOWNLOADING, INSTALLING, OR USING ANY LEEDTECH WEBSITE, SOFTWARE PLATFORM, APPLICATION, PRODUCT, SERVICE, OR RELATED OFFERING. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND LEEDTECH. BY ACCESSING, REGISTERING FOR, OR USING THE SERVICES IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS, AS WELL AS ANY ADDITIONAL POLICIES, GUIDELINES, OR AGREEMENTS REFERENCED HEREIN. IF YOU ARE USING THE SERVICES ON BEHALF OF AN ORGANIZATION, INSTITUTION, COMPANY, OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS. IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS, OR IF YOU DO NOT HAVE THE LEGAL AUTHORITY TO ACCEPT THEM, YOU MUST IMMEDIATELY CEASE ACCESSING OR USING THE SERVICES. CONTINUED ACCESS TO OR USE OF THE SERVICES SHALL CONSTITUTE YOUR ACCEPTANCE OF THESE TERMS, INCLUDING ANY FUTURE MODIFICATIONS OR UPDATES MADE IN ACCORDANCE WITH SECTION 17 OF THIS AGREEMENT.

1. INTRODUCTION

Welcome to LeedTech (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our websites, software platforms, applications, products, services, and related offerings (collectively, the “Services”).

LeedTech operates in accordance with the laws of the Republic of Cameroon and, where applicable, the legal framework established by the Organisation for the Harmonization of Business Law in Africa (OHADA). These Terms shall be interpreted and enforced in compliance with applicable Cameroonian laws, OHADA Uniform Acts, and other relevant regulations.

By accessing, registering for, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

2. ELIGIBILITY

You may use the Services only if you have the legal authority and capacity to enter into a binding agreement under applicable laws.

If you are accessing the Services on behalf of an organization, institution, company, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Where applicable, users must comply with all legal requirements under Cameroonian law and OHADA regulations relating to contractual capacity and commercial transactions.

3. ACCOUNT REGISTRATION AND SECURITY

Certain Services may require the creation of an account.

You agree to:

  • Provide accurate, current, and complete information.

  • Maintain and promptly update your account information.

  • Keep your login credentials secure and confidential.

  • Notify us immediately of any unauthorized access or suspected security breach.

  • Accept responsibility for activities conducted through your account unless prohibited by applicable law.

We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.

4. SERVICES

LeedTech provides technology solutions, software platforms, digital tools, and related services that may evolve over time.

The Services may include, but are not limited to:

  • Educational management systems and academic administration platforms.

  • Student admissions and enrollment management.

  • Course registration and academic records management.

  • Payment processing and financial administration tools.

  • Workflow automation and reporting solutions.

  • Communication and collaboration features.

  • Analytics, dashboards, and business intelligence tools.

  • Cloud-based software services.

  • Customer support and related services.

We reserve the right to modify, enhance, suspend, or discontinue any part of the Services at any time, subject to applicable legal obligations.

5. ACCEPTABLE USE

You agree to use the Services responsibly and in compliance with all applicable laws and regulations.

You shall not:

  • Use the Services for unlawful, fraudulent, or harmful purposes.

  • Attempt to gain unauthorized access to systems, networks, accounts, or data.

  • Interfere with the security, integrity, or performance of the Services.

  • Upload, transmit, or distribute malicious software, viruses, or harmful code.

  • Reverse engineer, decompile, copy, modify, or reproduce proprietary components of the Services except where expressly permitted by law.

  • Misrepresent your identity or provide false information.

  • Use the Services in a manner that infringes the rights of others.

  • Use the Services in violation of Cameroonian laws, OHADA regulations, intellectual property rights, or data protection requirements.

Violation of this section may result in suspension, restriction, or termination of access.

6. USER RESPONSIBILITIES

Users are responsible for:

  • Maintaining the accuracy of information submitted through the Services.

  • Obtaining any necessary permissions, authorizations, or consents required for their use of the Services.

  • Managing user access and permissions where applicable.

  • Ensuring compliance with applicable laws, regulations, and organizational policies.

  • Protecting the confidentiality of account credentials and sensitive information.

  • Ensuring that data uploaded to the Services is lawfully collected and processed.

Institutions using LeedTech services remain responsible for compliance with applicable educational, employment, tax, and regulatory obligations under Cameroonian law.

7. PAYMENTS AND FEES

Where applicable:

  • Fees for subscriptions, licenses, products, or services shall be paid according to the applicable pricing or agreement.

  • Payments may be processed through authorized third-party payment providers.

  • Taxes, duties, value-added tax (VAT), withholding taxes, or governmental charges may apply and are the responsibility of the user unless otherwise stated.

  • Fees are generally non-refundable unless required by law or expressly stated in a separate agreement.

Failure to make required payments may result in suspension or termination of Services.

8. INTELLECTUAL PROPERTY

All intellectual property rights associated with the Services, including software, trademarks, logos, designs, content, documentation, and related materials, are owned by LeedTech or its licensors and are protected by applicable intellectual property laws, including relevant OHADA intellectual property provisions and international treaties where applicable.

Subject to these Terms, users are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for their intended purposes.

Nothing in these Terms transfers ownership of any intellectual property rights to users.

9. DATA AND CONTENT

Users retain ownership of the data, content, and materials they submit to the Services, subject to any applicable agreements.

By using the Services, you grant LeedTech the rights necessary to process, store, transmit, and use such data solely for the purpose of providing, maintaining, securing, and improving the Services.

The collection, use, storage, and protection of personal information shall be governed by our Privacy Policy and applicable data protection laws.

LeedTech shall implement reasonable technical and organizational measures to protect information processed through the Services.

10. SERVICE AVAILABILITY

We strive to provide reliable and secure Services; however, we do not guarantee uninterrupted, error-free, or continuous availability.

The Services may be temporarily unavailable due to:

  • Scheduled maintenance.

  • System upgrades.

  • Security measures.

  • Technical failures.

  • Third-party service disruptions.

  • Events beyond our reasonable control.

We will make reasonable efforts to minimize disruptions where practicable.

11. THIRD-PARTY SERVICES AND LINKS

The Services may integrate with or provide access to third-party products, services, websites, or applications.

LeedTech does not control and is not responsible for the availability, content, security, or practices of third-party services. Your use of such services is subject to the terms and policies of the respective providers.

12. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

LeedTech makes no warranties, representations, or guarantees, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or reliability.

We do not guarantee that the Services will meet all user requirements or operate without interruption or error.

Nothing in these Terms excludes rights that cannot be excluded under applicable law.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

LeedTech, its affiliates, officers, employees, partners, contractors, and licensors shall not be liable for:

  • Indirect, incidental, special, punitive, or consequential damages.

  • Loss of profits, revenue, business opportunities, goodwill, or anticipated savings.

  • Loss, corruption, or unauthorized access to data.

  • Service interruptions or delays.

  • Actions or omissions of third-party providers.

Where liability cannot be excluded by law, our total aggregate liability shall not exceed the amount paid by the user for the Services during the twelve (12) months preceding the event giving rise to the claim, or the minimum amount permitted by applicable law if no fees were paid.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless LeedTech, its affiliates, directors, officers, employees, contractors, and partners from and against any claims, liabilities, damages, losses, costs, and expenses arising from:

  • Your use of the Services.

  • Your violation of these Terms.

  • Your violation of applicable laws or regulations.

  • Your infringement of any third-party rights.

This provision shall apply to the fullest extent permitted under applicable law.

15. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate access to the Services where:

  • These Terms are violated.

  • Required payments remain outstanding.

  • Continued access presents security, operational, or legal risks.

  • Required by law, regulatory authorities, or competent judicial orders.

Upon termination, rights granted under these Terms shall immediately cease, except for provisions that by their nature survive termination.

LeedTech may retain records where required by law, regulatory obligations, audit requirements, or legitimate business purposes.

16. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cameroon and applicable OHADA Uniform Acts.

The parties agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good-faith negotiations.

Where an amicable settlement cannot be reached within thirty (30) days, the dispute may be submitted to mediation or arbitration in accordance with applicable OHADA arbitration rules or referred to the competent courts of Cameroon.

Nothing in this clause prevents either party from seeking urgent injunctive or protective relief before a competent court.

17. AMENDMENTS

We may update or modify these Terms from time to time to reflect changes in our Services, legal requirements, regulatory obligations, or business practices.

Updated versions will be published through appropriate channels and will become effective upon publication unless otherwise stated.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

18. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect.

19. ENTIRE AGREEMENT

These Terms, together with any applicable agreements, policies, notices, service agreements, and data protection documents referenced herein, constitute the entire agreement between you and LeedTech regarding the use of the Services and supersede any prior understandings or agreements relating to the subject matter.
